Terms of Service

Welcome to EWIS+ Ally. These Terms of Service (“Terms”) are a legal agreement between you and EWIS+ Ally, Inc., a Delaware corporation (“Company”, “we”, or “us”). By accessing or using our website, mobile applications, and related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services. By using EWIS+ Ally, you represent and warrant that you meet this requirement. We reserve the right to suspend or terminate access if we reasonably believe a user does not meet eligibility requirements.

2. User Accounts and Responsibilities

2.1 Account Credentials

You are responsible for maintaining the confidentiality of your account credentials and must take all reasonable steps to prevent unauthorized access.

2.2 Account Activity

You are responsible for all activity that occurs under your account, whether or not authorized by you.

2.3 Accuracy of Information

You must ensure that information you provide during “Member” or “Ally” onboarding is accurate and current.

2.4 Authorized Use

You agree not to misuse the Services or attempt to access them in any unauthorized manner.

3. The EWIS+ Ally Service

EWIS+ Ally provides an AI-driven platform that matches “Members” with “Allies” and facilitates preparation for and scheduling of “Ally Chats.”

3.1 Membership Fees and Billing

3.1.1 Members

Access to the EWIS+ Ally platform is provided via a recurring monthly subscription fee (the “Subscription”). By enrolling, you expressly acknowledge and agree to the following continuous service terms in accordance with California Business & Professions Code § 17600 (ARL):

  • Automatic Renewal: Your Subscription will automatically renew each month at the then-current rate unless and until you cancel. You authorize EWIS+ Ally (via our third-party processor, Stripe) to charge your stored payment method at the start of each billing cycle.
  • Cancellation Policy: You may cancel your Subscription at any time. To avoid the next cycle's charges, you must cancel at least 24 hours prior to your renewal date.
  • Simple Cancellation (“Click-to-Cancel”). In accordance with the FTC's Negative Option Rule and California's Automatic Renewal Law (AB 2863), if you enrolled in a subscription online, you may terminate it through the same medium (e.g., website or mobile app).
    • (a) Online Mechanism: You may cancel at any time via Account Settings > Billing > Cancel Subscription. This mechanism is simple, prominent, and available at all times.
    • (b) No Obstruction: While we may offer you a discount or alternative plan to retain your membership, such offers will never obstruct or delay your right to cancel. A prominent “Cancel Now” button will remain continuously visible during any retention flow.
    • (c) Confirmation: Upon cancellation, you will receive an immediate electronic confirmation (email) and will not be charged again for that subscription.
  • Post-Cancellation Access: Upon cancellation, you will retain access to member features until the end of your current paid billing period, at which point access will terminate.
  • Notices and Reminders: A confirmation email containing these terms and a simple cancellation link will be sent immediately upon purchase. For any material changes to these terms (such as price increases), we will provide at least 30 days' notice prior to the change taking effect.
  • Additional Transaction Fees: Per your “Full Cycle” model, an additional one-time fee is charged upon the successful completion of a Matching + Preparation + Ally Chat cycle. This is a separate transactional charge and does not affect your base subscription status.
Note on AI Transparency (2026 Update): Since the “Full Cycle” involves Automated Decision-Making Technology (ADMT) for matching and “Ally Chat” (AI-driven interaction), California law now requires us to provide you with a pre-use notice of how our AI influences your experience. By subscribing, you acknowledge receipt of our AI Transparency & Logic Disclosure.

3.1.2 Allies

To maintain the integrity of our professional network and cover onboarding costs, Allies are required to pay a one-time, non-refundable Account Activation Fee of $8.50 upon successful registration.

  • No Recurring Dues: This is not a subscription or membership fee. Once paid, there are no ongoing monthly or annual charges for basic Ally account maintenance.
  • Standard Processing: This fee covers administrative overhead, including manual profile authentication and identity cross-referencing to maintain platform integrity and security.
  • Payment Timing: The fee is due at the time of account activation and must be paid before an Ally can be matched with a Member.

3.1.3 Background Checks

All Members and Allies must undergo and pass a background check as part of the onboarding process.

3.2 Matching & AI Failure Policy

Members are entitled to ten (10) matches per month.

  • AI Technical Failure: If the AI agent fails to perform or a technical error occurs, the match will not count toward your monthly total.
  • Match Justification: If a Member provides a valid written justification for rejecting a match prior to the “Ally Chat,” EWIS+ Ally may, at its discretion, credit that match back to the Member’s monthly total.

4. User Conduct & Code of Conduct (D.8)

EWIS+ Ally maintains a Zero Tolerance Policy for misconduct. You agree to use the Services only for lawful and appropriate purposes and in accordance with our Community Guidelines.

4.1 Prohibited Acts. You may not:

(a) Harass, threaten, abuse, discriminate against, or harm others. (b) Impersonate any person or entity. (c) Submit content that is unlawful, defamatory, obscene, or otherwise objectionable. (d) Infringe upon the intellectual property or privacy rights of others. (e) Attempt to disrupt, interfere with, or reverse-engineer the Services. (f) Use the Services in a way that violates any applicable law or regulation.

We reserve the right to suspend or terminate access if we reasonably believe these Terms have been violated.

5. Intellectual Property & Data Ownership

5.1 Service Content

All content, software, designs, trademarks, and materials provided by EWIS+ Ally are owned by or licensed to EWIS+ Ally and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without prior written permission.

5.2 User Data and Chat Transcripts

Users retain ownership of any personal information provided to the Service.

However, by using EWIS+ Ally, you grant the Company a worldwide, non-exclusive, royalty-free, and sublicensable license to host, store, process, analyze, and utilize interactions—including chat transcripts—solely for the purposes of:

  1. (i) operating and providing the Service;
  2. (ii) improving and training our artificial intelligence systems;
  3. (iii) ensuring community safety and detecting self-harm or prohibited content; and
  4. (iv) maintaining platform integrity and security.

This license is subject to your rights under the California Privacy Rights Act (CPRA) as further detailed in our Privacy Policy.

6. AI & Service Data Usage

6.1 Third-Party AI Providers

EWIS+ Ally utilizes enterprise-tier API services from third-party providers (including, but not limited to, OpenAI, Google, and Anthropic) to power our AI agents and matching algorithms.

6.2 Data Processing & Training

  • Our Usage: We use your onboarding data and interactions to improve the EWIS+ Ally matching logic and user experience.
  • Third-Party Training: To the best of our knowledge and based on our current service agreements, our third-party AI providers do not use data submitted via their enterprise APIs to train their foundational models. However, these providers may update their policies from time to time.
  • External Policies: Your data is subject to the privacy and security standards of our subprocessors. For the most current information on how these providers handle data for model training, we encourage you to review the OpenAI Enterprise Privacy, Google Cloud AI Privacy, and Anthropic Privacy pages.

6.3 Acknowledgment

By using the Service, you acknowledge that your data will be processed by these third-party AI partners to facilitate the core functions of EWIS+ Ally.

6.4 User Interactions and Disclaimers

The Service facilitates introductions and interactions between Members and Allies. While EWIS+ Ally offers a ‘Verified on LinkedIn’ professional trust enhancement to help authenticate certain member credentials, EWIS+ Ally does not control, and is not responsible for, the ultimate conduct, identity, or background of any user.

Interaction at Your Own Risk. You are solely responsible for your interactions with other users. You understand that EWIS+ Ally:

  1. (i) does not conduct criminal background checks or verify the statements of its users;
  2. (ii) makes no representations or warranties as to the conduct of users or their compatibility with any current or future members; and
  3. (iii) is not responsible for any loss or damage resulting from the conduct, statements, or actions of any user, whether online or offline.
  4. (iv) requires all users to review and adhere to the “Safety Tips & In-Person Interactions” protocols set forth in Section 5 of our Community Guidelines.

No Agency. No user, including those acting as “Allies,” is an employee, agent, joint venturer, or partner of EWIS+ Ally for any purpose.

7. (California/FCRA Standard) Safety Screening & Background Checks

In addition to and separate from the identity and professional trust verification (such as the LinkedIn Ally Badge) described elsewhere in these Terms, all Members and Allies are required to undergo a comprehensive FCRA Safety Screening to ensure the safety of the EWIS+ Ally community.

  • Fair Credit Reporting Act (FCRA): We comply with the FCRA and the California Investigative Consumer Reporting Agencies Act (ICRAA).
  • Authorization: By using the Service, you authorize EWIS+ Ally to utilize a third-party provider to obtain “consumer reports” or “investigative consumer reports.”
  • Transparency: EWIS+ Ally only receives a “Pass/Fail” status indicator. We do not store your full sensitive report. If a “Fail” status is returned, you will be provided with a copy of your rights and a notice of “Adverse Action” as required by law, allowing you to dispute any inaccuracies directly with the third-party provider.

8. Billing & Refunds

8.1 Match Credits

EWIS+ Ally operates on a credit-based system (“Match Credits”). One Match Credit is consumed when a successful introduction is facilitated by our AI agents.

  • Expiration: Unless otherwise stated at the time of purchase, Match Credits do not expire as long as your account remains active and in good standing.
  • Non-Transferable: Credits are tied to your specific account and cannot be sold, traded, or transferred.

8.2 Subscription Billing

By subscribing to a paid plan, you authorize EWIS+ Ally (via our payment processor, Stripe) to charge your provided payment method on a recurring basis. Cancellation will take effect at the end of your current billing cycle.

8.3 Refund & Credit Policy

Except as required by law, all purchases are non-refundable. However, we provide the following protections for our community:

  • Pre-Chat Credits: If a Member is unhappy with an AI-generated match before a chat or engagement occurs, the match may be credited back to the account (see Section 3.2).
  • Post-Chat Review: If a Member is unhappy with an Ally after a chat has occurred, they must provide a valid justification in writing to our support team. EWIS+ Ally will evaluate the request and reserves the sole right to approve or deny a credit reinstatement or refund.
  • Safety-Fail Exception: If your account is terminated because your background check returns a “Fail” status before you have utilized any Match Credits, a full refund will be issued for that specific purchase.
  • Service Errors: If a Match Credit is consumed due to a verified technical error, you may request a credit reinstatement.

8.4 Chargebacks

We encourage you to contact us before initiating a dispute with your bank. Unauthorized chargebacks may result in the immediate and permanent termination of your account under Section 9 (Termination).

9. Termination

9.1 Termination by You

You may stop using the Services or close your account at any time. Please note that closing your account does not automatically entitle you to a refund for unused Match Credits or subscription fees, except as expressly stated in our Refund Policy.

9.2 Termination by EWIS+ Ally

We reserve the right to suspend or terminate your access to all or any part of the Service at any time, with or without cause, and with or without notice.

9.3 Termination for Material Breach

Without limiting Section 12.2, EWIS+ Ally may terminate your account immediately and without notice if:

  • You commit a material breach of these Terms, including any violation of the User Conduct (D.8) or Community Guidelines;
  • Your background check returns a “Fail” status or otherwise reveals information that violates our safety standards;
  • We are required to do so by law or a valid government request.

9.4 Effect of Termination

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

EWIS+ Ally provides the Services “as is” and “as available,” without warranty of any kind. Without limiting this, we expressly disclaim all warranties, whether express, implied, or statutory, regarding the Service — including, without limitation, any warranty of merchantability, fitness for a particular purpose, title, security, accuracy, and non-infringement.

10.1 Service Requirements

EWIS+ Ally does not warrant that the Service will meet your specific requirements.

10.2 AI Match Accuracy

EWIS+ Ally does not warrant that AI-generated matches will be accurate, successful, or compatible.

10.3 Service Availability

EWIS+ Ally does not warrant that the Service will be uninterrupted, timely, secure, or error-free.

10.4 Information Accuracy

EWIS+ Ally does not warrant that information provided through the Service is accurate, reliable, or correct.

10.5 Error Correction

EWIS+ Ally does not warrant that any defects or errors will be corrected.

You assume full responsibility and risk of loss resulting from your use of information, content, or other material obtained from the Service.

11. Limitation of Liability

You understand and agree that EWIS+ Ally will not be liable to you or any third party for any loss of profits, use, goodwill, or data, or for any incidental, indirect, special, consequential, or exemplary damages, however arising, resulting from:

11.1 Use of the Service

Your use of or inability to use the Service.

11.2 Third-Party Conduct

The statements or conduct of any third party (Member or Ally) on the Service.

11.3 User Interactions

Any other user interactions that you input or receive through your use of the Service.

11.4 Unauthorized Access

Unauthorized access to or alterations of your transmissions or data.

11.5 General Matters

Any other matter relating to the Service.

Our liability is limited whether or not we have been informed of the possibility of such damages. In no event shall EWIS+ Ally’s total liability to you exceed the amount paid by you to EWIS+ Ally during the previous six (6) months.

12. Governing Law & Jurisdiction

12.1 Choice of Law

Except to the extent applicable law provides otherwise, this Agreement between you and EWIS+ Ally and any access to or use of the Website or the Service are governed by the federal laws of the United States of America and the laws of the State of Delaware, without regard to conflict of law provisions.

12.2 Venue

You and EWIS+ Ally agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware.

12.3 Injunctive Relief (The "D.8" Provision)

Notwithstanding Section 12.2, any claim for injunctive relief with respect to a violation of Section 4 (User Conduct — “D.8”) or Section 5 (Intellectual Property) may be brought in any jurisdiction where such a violation is occurring. EWIS+ Ally reserves the right to seek immediate court orders in any global jurisdiction to prevent the scraping of our data, the harassment of our community, or the infringement of our proprietary AI models.

13. Changes to These Terms

Short version: We want our users to be informed of important changes to our terms, but some changes aren’t that important — we don’t want to bother you every time we fix a typo. So while we may modify this agreement at any time, we will notify users of any material changes and give you time to adjust to them.

We reserve the right, at our sole discretion, to amend these Terms of Service at any time and will update these Terms of Service in the event of any such amendments. We will notify our users of material changes to this Agreement — such as subscription price increases or significant changes to the “Match Credit” policy — at least 30 days prior to the change taking effect by posting a notice on our Website or sending an email to the primary email address specified in your EWIS+ Ally account.

A User’s continued use of the Service after those 30 days constitutes agreement to those revisions of this Agreement. For any other modifications, such as minor clarifications or formatting updates, your continued use of the Website constitutes agreement to our revisions of these Terms of Service.

We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Website or Service (or any part of it) with or without notice.

14. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless EWIS+ Ally, Inc., its affiliates, and their respective officers, directors, agents, and employees (the “Company Parties”) from and against any claims, damages, losses, liabilities, costs, and expenses (including, but not limited to, reasonable attorneys’ fees) arising out of or related to:

  • Your Use of the Service: Your access to or use of the Service, including any interactions with Allies or other Members;
  • User Content & Prompts: Any content or prompts you provide, upload, or generate through the Service, including claims that such content violates third-party intellectual property or privacy rights;
  • Violation of Terms: Your breach or alleged breach of these Terms or our Community Guidelines; and
  • Violation of Law: Your violation of any applicable laws, rules, or regulations, or the rights of any third party.

EWIS+ Ally reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

15.1 Scope of Arbitration

Any dispute, claim, or controversy arising out of or relating specifically to these Terms, or the use, payment, or provision of the Service (each a “Dispute”), shall be resolved through binding arbitration. In accordance with California Civil Code § 1670.15, this agreement to arbitrate is limited to the transactions and services provided under these Terms.

15.2 Informal Resolution

Before filing a claim, you agree to try to resolve the Dispute informally by contacting hello@elevatewomeninstem.com. If we cannot resolve the Dispute within 30 days, either party may bring a formal proceeding.

15.3 Arbitration Rules

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this section.

15.4 Class Action Waiver

YOU AND EWIS+ ALLY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15.5 Batching

To increase the efficiency of administration and resolution of arbitrations, you agree that if twenty-five (25) or more similar arbitration demands are filed against EWIS+ Ally by the same or coordinated counsel, the AAA shall (i) administer the arbitration demands in batches of 100 per batch; and (ii) appoint one single arbitrator for each batch to resolve the claims.

15.6 Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for (i) infringement or unauthorized use of intellectual property, or (ii) unauthorized access to the Service (e.g., “scraping”).
